 I had stock ESOP in a bank that was merged the funds were held by the IRS as part of the merger I have been told they have been released about a month ago but was also told i have to wait another month or so to receive paperwork to elect whether i wish to cash it out and then another month or so until i recieve funds I have asked the new bank it they can do this quicker but recieve no answer to my questions if the stock has been released and is active can I sell it? how can I get it

Try to find out who the clearing agent is and contact them.

 What happens to stocks when a company delist?

Once a company is delisted it could reapply once certain obligations are met. You can have a New York Stock Exchange company get delisted and apply for a NASDAQ listing. Or sometimes the company goes bankrupt and the shareholders are left with worthless stock.

 I own around 2,500 shares of Adelphia (ADELQ). It looks likely they will be bought out by Comcast/Time-Warner in an all-cash deal. Adelphia's stock is trading at $.20 per share and am wondering if their stock would be projected to gain if a deal gets announced? If not, what will happen to Adelphia's stock if they do get bought out in an all-cash deal? I look forward to hearing from you. This looks like a great place to turn for answers!

Even if its an all cash deal there will be a "buyout" price. Time Warner & Comcast have to figure out how much each subscriber (sub) is worth and that will determine a share price. Once that happens the FCC as well as the SEC has to approve it. I hope you have a good cost average.

 i worked for ADP ,i sold some shares in2004, i need to know hte price i bought them , for filing my taxes. i can not find my cover letter that told what stock purchase plan number and price. i not sure how to find out this information. i know longer work had this company stills 1998.

Your Human Resources department will have to contact the 401k firm that will give you the shares and price. Or you can have your accountant look at the years you worked for ADP and check your previous W2 tax forms which lists how much money was deducted from your checks. This is also based on you only investing in ADP stock.

When you are doing stock charts it doesn't matter what the company does or the fundamnetals. The chart is telling you the stock has broken all support and is heading lower. Don't be surprised if it breaks its 52 week low of $67.94 shortly.

Only if the SEC allows them to refile. But right now it looks like the
company will sell its assets to Time Warner & Comcast. Its just a matter of what a fair price is to the shareholders.

You invested a total of $6,450.00 for 100 shares of Sears. If you sold your "200" shares as of the closing price on Friday 3/18/05 at $56.95 that would total $11,390.00.

 My father in law passed away a few months ago.  As we were going through his things we found a stock certificate for a company called "Computer Products,Inc."  It was issued Nov. 15, 1988.  I cannot find any info on this company or find out if this stock is worth anything.  Do you have any info on this stock? I could not find anything on the company. The best bet is to deposit the certs with a broker and their back office will be able to track it to see if there were any splits and if it has any value.

Just my opinion: I never buy any bankrupt company as they do not have a good track record of rebounding. If you have a few dollars to through away then maybe take the chance but don't sink a lot into it.

 About 1983, I worked for Allstate Insurance, then owned by Sears.  The retirement program was in Sears stock.  I left with not very many shares,which ultimately ended up as a few shares of Allstate, Dean Witter, etc. and 3 shares of Sears.  I'd like to hang on to "newco" stock after the KMartmerger, even at .5 to one.  Problem is Sears never sent me a certificate.It's like it was book entry, but listed as Certificate shares.  The election form (cash or newco stocks) has some exorbitant scam to gouge you if you don't have certificates to send in.  Any thing I can do?

Any proof you have with regards to the 3 shares make a photo copy and contact Sears to have them send you a certificate. Or find out who their stock transfer agent is and contact them. They must send you a cert if you request and you are shown on the books.

When a company does a reverse stock split the price of the stock is raised but your shares are reduced. So in your example if the stock price was $1 and you had 100 shares that is equal to $100. When you do a 1 - 40 reverse split now you have 2.5 shares $40 = $100.

A company usually does a reverse split when there are to many shares outstanding and a reverse split lowers the amount to be traded.

The stock closed at $0.88 on Friday 3/18/05 but was approved for an $800 million line of credit. As far as selling you have to make that decision because everyone has a different thresh hold as far how much of loss you one can take. If you have other stocks in your portfolio and sell them at a profit you can off-set it with the loss of any shares you sell of Winn-Dixie. In my opinion only I would not invest any NEW money in a bankrupt company. Look at the message board and see how many investors got screwed by K-MART.

A broker cannot be paid by a corporation. Usually the corporations have an account set-up at a brokerage firm and they can deal with one broker if they choose but they cannot pay the broker a salary. That's illegal.

I want to sell the 200 shares of stock that I have and contacted the company, which publicly trades on AMEX. I was told to let my stock broker know that I want to sell my shares. The thing is, I don't have a stockbroker and don't know the first thing about retaining one. I was given the 200 shares of stock 5  years ago,  instead of monetary compensation, because I was on contract with them as a  freelance writer, when the company first began. I would only need a broker  for the sell of the shares, is this feasible and where do I begin?

I personally deal with Ameritrade. Since you don't do a lot of investing I would see if your bank can sell the shares. Some banks bought out stock brokerage firms so they may be able to sell the shares. If you use an "on-line" firm like E-TRADE you can sign up via their website. You have to send the original stock certificates to them but before you do that make sure you make copies of the "front" & "back".

I went to their website and there is no "investor relations" department. You could contact the hotel and see if they could direct you. Or you could deposit the certificates into a brokerage account and they would be able to tell you if there is any value.

When it merges there will be essentialy a buyout. One company may opt to pay cash for your shares, or give you stock in their company for every share you own. It can even be a combo of stock and cash. If you own shares in the company and the certificates are with a broker once the merger is done your portfolio will reflect it.

If you have the original K-MART stock from the NYSE it is worthless. Have your accountant write it off. The government protected them when they filed for Chapter 11. Once all the creditors were paid (pennies on the dollar) there was nothing left. If you get a Class Action Lawsuit letter you have nothing to lose by adding your name to the list.

Example the stock 1 share was purchased for 5000 after I inquiredon the value of the stock a year later I was told by phone $5582. I said fine I want to sell it. Months go by ; many phone calls and finally the BBB was contacted. Then the company say the value was $58.62. Fishly! I suspect fraud. How do I determine what's going on. and who to I contact.

All publicly traded companies have to disclose earnings. Did you have an account with a broker and he refused to sell it? If that's the case you contact your local NASD office and sue the firm & broker.

If you contact K-Marts investor relations department they can contact the "stock transfer agent" who has a list of all the shareholders and their purchases. Or see if you still have your tax forms from the past years to see how much was deducted from your checks. Maybe you accountant has copies.

Even when a stock splits you have an original cost basis. If you sent your broker $1000 for shares of IBM and it split 1,2,or 3 times anything over $1000 is a cap gain. That is why investors will sell their losers to off-set the gains at the end of the year.

All publicly traded companies have "stock transfer agents" who have a list of the shareholders & when shares were purchased. They may be able to trace it back to the '80's.

Another way of doing it is since you signed the cert over to your broker the firm should have a copy of the certificate you deposited with the date he purchased it on.

The best way to do this is to go to YAHOO FINANCE. Type in the symbol "S". You will see the stock quote and if you look at the left-hand side look where it says "Historical Prices". Click on that and you can go as far back as you like.

To save you time here are the prices as of December:

December 29th, 1972 = $116.00

December 31,1979 = $18.00

December 31,1993 = $52.88

Seek out an attorney but in my opinion I would think if you can provide the death certificates and prove the family relationships the son could have it registered in his name. Then its a matter if the stock has any value.

I don't personally track the stock but based on the technical chart you're buying a stock near its 52 week low which is not bad. Now you have to say to yourself "How high do I think it will go either short-term or long-term". If you feel its a good long-term hold where the return on investment will out weigh the risk then buy some shares. There are traders out there that will buy it under $4 and if they get 1 - 2 points may dump it.

If you purchased GM on January 3rd, 1989 you paid $83.50 for 1 share. On March 29th GM split 2 for 1 so you would have 2 shares. On 2/8/05 the closing price was $37 x 2 shares =$74. There were cash dividends paid out totaling $60.68 since '89. So the grand total is: $134.68

Even if they break up the company there will be a final buyout price that is averaged out. They will take the cash and divide that by the amount of shares outstanding. A company like Time Warner could also offer a 1/2 share of their stock as compensation. Time Warner is trading around $18 a share as of February 4th which would translate into you getting $9 for every Adelphia share. But I'm guessing this will be an all cash deal.

If  it was a named company like IBM you could try to find out who their "transfer agent" is as they would have a list of shareholders. If it was some obscure company that you cannot even remember their name then I would say to forget about it. Did you possibly put the certificates in a safety deposit box??

When you do a reverse stock split there are less shares but the price is higher.

Lets say you had 1000 shares of ABC stock and it was trading at $5 your portfolio would show a value of $5000.

If the company does a 1 for 2 stock split the portfolio would now show you have 500 shares but the stock price is at $10 for a value of $5000.

There are many reasons. Some of them are: just like an investor they feel the stock is undervalued. To give investors confidence that a CEO is stepping in to buy. The NASDAQ, AMEX & NYSE have certain rules that the board members hold a certain percentage.

 I have a general stock question. If a small company that is publicly traded is purchased by a larger company that isn't publicly traded, what happens to the small companys stock? I would assume it would still be traded, generally, would the value increase or decrease?

According to your example the "larger" company would essentially buy the shares of publically traded company and absorb them making it a "private" company. The majority of the time the larger company probably owned shares and now makes a bid via cash. The smaller company lets say was trading at $7 you have to hope the larger one buys them out at say $10. Thus you would have a premium.

 I recently found stock certificates for perferred and common stocks for "Taste Right Foods Incorporated" from 1946. I did some research and found that the company is still in operation. How do I go about seeing if these have any value? They are not in my name, but have been in my family. Thank you for your information.

The name of the person whose name appears on the certificates would have to open a brokergae account and then deposit them. Each cert has a "cusip" number which allows the firms to adjust the stock for any splits or buyouts. It would take about a week to get the results.

 Dr. Stock my question is I'm interested in buying a couple of stocks that are .pk they are trading at around .0005 cents a share. My question has a stock that was trading at fractions of a penny ever reach .50 or even a dollar a share.

The stocks with the "pk" are pink sheets and they can go up or down just like any other investment. The problem with the pinks is that they usually have a lot shares outstanding as they fell out of favor with investors so it will take mangement time to restructure these companies. Its high risk and high reward.

My husband received a 1500 stock option from Kmart when he was a  manager there in July 2000. This was when Chuck Conoway was the CEO and it was an incentive for the managers. This was basically received in the form of a letter and certificate. We forgot about it and when cleaning some files came across it. Since my husband no longer is a manager with Kmart, and the stock option does not expire until 2010, would he still be able to exercise this option, Thanks for any info.  Teresa & Robert Shores

I would check with human resources on that. Technically the company that traded on the NYSE was disolved via bankruptcy protection and I would think that the stock option is worthless. But you never know.

Just based on a technical chart on January 11th:

Over the last 2 years SHRP has hit bottom at the $14 - $16 price then makes a nice run. Considering that most of the electronic retailers did not blow away the Street during Christmas we could see a little more weakness but at these levels its not a bad play. Consult with your broker as this is just my opinion.

I could not find anything on the stock. If you have a brokerage account you can deposit it. On the back of the certificate is a "CUSIP" number. It's basically a catalog number that is used to track stocks. ie: if they split or were bought out. If you deposit it and it has value the firm can find out in a matter of a few days.

K-Mart gets more and more confusing and many investors have been burnt. If you received a NASDAQ listed security you are fine. But it seems the commitment meant nothing and creditors were paid first, followed by bond holders, preffered shareholders amd the common shareholders received nothing. If your broker recommended the stock and it was trading on the pink sheets then I would sue them.

A warrant trades like a stock except at a discount to the common share. Almost like coupon. A warrant has an expiration date but it can always be extended. An example is: Years ago INTEL traded around $12 and had a warrant at $3 which is a 4 to 1 ratio. If INTEL common went up so did the warrant but it did not go point for point until the common hit I believe $50 & the warrant was worth about $12.50. INTEL then shot up to $100 & the warrant started to trade like crazy and was worth $50 ++++. INTEL then "called" the warrant in. Meaning you could either sell the warrant just like a regular stock or redeem 1 warrant plus cash for 1 share of common.

You can put in a "stop-loss" order. If it's a NYSE stock it will stay on the books but any other exchange it will be cancelled at the end of the trading day and you will have to re-enter it.

VMII is a VERY STRONG BUY. The company is expected to finally generate reveues in 2005 and break even. In 2006 they should be profitable. I feel once a contract is announced with AVAYA and a potential Telephone company then the investor community will realize this company is going to be a huge winner. Once any news is released regarding voicemail installations by AVAYA (AV -NYSE) then VMII will never see these prices again. Just my opinion.

Generally the company who is shelling out the money for the buyout will go down in price as shareholders begin to digest what debt may be incurred. Sears may fluctuate a little because of the holiday season but I would not expect a great runup in price unless there were rumors that another company may be interested in buying them out then you could decide to make a play. It seems shareholders for both companies are happy with the deal.

How do I find out if I have Anthem stock? I was given an option to takestock or cash a few years ago and I believe I took the stock.

Check with your broker to see if anything was transfered into the account. If the company was boughtout foind out who handles investor realtions questions and they can guide you as they can get a record of what was given out by the stock transfer agent.

Once a stock is suspended from trading the SEC decides when or if it should continue trading. If the stock was on the New York Stock Exchange they have the right to drop them then the company can apply to the AMEX, NASDAQ, BULLETIN BOARD or PINK SHEETS. If the stock does not meet certain standards they could also file for bankruptcy and nver trade again at that point you lose your investment.

As the deal is waiting for SEC approval you will get 1.12 shares of Symantec software for every share of VERTS. So if you go by December 23rds closing price of 25.37 your value is now at $28.41. You could either hold or sell the stock. In any event you have a GREAT cost average. If you had 1000 shares once converted it will now show 1120 shares of SYMC in your portfolio. This is done via computer transfer.

If you look at the chart GE broke a 52 week high on December 14th at $37.75 and now is pulling back slightly which is healthy. Generally stocks that hit new highs will have profit taking of 10 - 15% so GE could retrace to $32 - $34 if that occurs then a nice run up should ensue. Just check the volume and make sure its trading within its 30 day average.

To save yourself from getting hit with taxes then I would open another 401k account with any brokerage firm and then roll it over. If you held the original 401k with a company you use to work for then the should still have it in house. If thats the case contact their payroll division which will give you more info.

If you take the case of K-Mart they had stock trading on the NYSE filed for bankruptcy paid all their creditors, bondholders etc and the common shareholders got nothing as there was no money left. K-Mart retired the shares and issued new shares on the NASADQ and the original shareholders got nothing.  In your case that is what you have to look for. Did the company "retire" the shares you originally held, did they re-emerge as a private company which in that case the shares you have are worthless unless its trading on the stock exchange again.

You would have to contact Wal-Mart investor relations and they will call the transfer agent who has a list of all the shareholders. They can be replaced.

 I own a small amount of shares from working for Foot Locker who was part of the Woolworth Corporation in the 1990's. But Woolworth is no more and Foot Locker is on the name I see on the stock exchange. Did those shares transfer to the Foot Locker name? Are they still have worth?

In my opinion they did transfer over to the symbol FL which is on the NYSE.

If you want to make sure 100% open a brokerage account and deposit the shares or stop by a firm and they can call the clearing agent to verify.

From what I read the buyout price was for $15 which means the stock options are worthless since they are higher then the price Cingular paid for ATT Wireless.

It states under the terms of the agreement Wellpoint stockholders will receive $23.80 in cash & one share of Anthem common stock. You did not lose any shares. Check with your companys payroll director or your paystub will show if money is being taken out if you were in a 401k plan.

The easiest and best way do this is to deposit the shares in a brokerage account as they will be able to track the history of it and once the shares are settled in you will see if there is any value.

 eToys filed bankruptcy,, it has a confirmed plan,,, It is now 3 years old and the intention is to dissolve the public shares. In the course we found out the the attorney for the creditors committee placed a CEO in etoys that the attorney for the Creditors Committee had a secret partnership with.  Question 1. Does the illegal collusive intent to defraud change things. question 2. As the public shares /entity is not yet dissolved can it be saved as there were companies that wanted to do so,, but the creditors and the CEO objected,,, now that we know they had a secret deal,,, can the public shell still be salvaged.

The only thing I can tell you is look at the many questions I receive on K-Mart and how they screwed all the shareholders. ALso MCI, ENRON & Global Crossings. These were some of the biggest companies in the world and the SEC protected them. I would think there is a case to salvage the shell but at what price. And with a class action lawsuit i would say the SEC would just dismiss the attorney but still tell the shareholders its worthless and you have a tax write-off.

The stock itself would now give you about 300 shares after the splits but as far as other companies I can't help you with that. Lucent would be one.

 Can you explain the $50 cash offering for current Sears Stock  holders. Is this on top of what I already own of Sears b/c the price of the stock is over $54 so I would think it is to just not trade it in. Am I wrong?

For each share of Sears you can get $50 in cash. Even though the company right now is trading above that price $50 is what you get back.

You also have the option of taking a " 1/2 " share of the new formed holding company. The reason for the "1/2" share is because the new company is going to be trading at $100 a share. So if you want to own shares of the new company you have to give up 2 shares of Sears. You have to way the risk:

take the $50 cash or if good news comes out now and Sears goes up to say $55 sell. OR give up 2 shares of Sears for every new share of the holding company and hope the price stays above $100.

You would have to contact the company and if they are still around then the corporate office can direct you to the "holding company" which has a list of all shareholders. From there you should be able to get the stock certificates re-instated.

The easiest way to find out is go to www.yahoofinance.com and enter their symbol: mcd You will be able to click on a chart and go back as far as you'd like. Looking at the 5 year chart they were as high as $50++ and as low as $12+.

They have not complied with the Nasdaq, Bulletin Board, AMex  regulators as far as price needing to maintain a certin price, or amount of insiders holding the stock etc. If you read about the stock you own then there should be a news item letting the shareholders know as the company must file with the NASD or SEC. Or you can go to: www.sec.gov and search for the company by stock symbol and the paperwork should be on file for you to read. Generally these companies get the filing done and the " E " drops off.

I hate to hedge on this but its your call. Depending on the amount of shares you own and how much money you invested in Sears I would do this "PERSONALLY".......

Lets say you had $5000 invested in Sears I would take 100++ shares of the $50 buyout price. This way you got your original investment out plus a few dollars profit. Then take the rest in the 1/2 share option. If you see a nice return on the investment short-term then start to scale out of some shares and use it for other investments and keep a few shares for the long-term. Always stay liquid so if something comes along you have the cash.

This is just my opinion.

 KMART HAD TO CLOSE ALOT OF KMARTS-SO THEY DID NOT HAVE TO GO BANKRUP,SO HOW CAN THEY BUY SEARS?

There is a lot of speculation with regards to K-Mart and the closing of stores. The bottom line is the government granted them bankruptcy protection which got rid of a ton of debt and screwed the loyal shareholders.

There is no set price that a stock has to be in order to split. Its decided by the board of directors and the sharholders. Its usually designed to make a stock more attractive to buy.

 As a former Kmart common stock holder, I am bewildered by our bankruptcy laws. In the pecking order of paying off debts, the common stock holder is last to be paid. Since the common stock holders received nothing indicates that there were no more assets to liquidate. When Kmart reemerged last year from bankruptcy it quickly returned to profitability. Not on the back of sales, but by selling off assets (realestate - stores). The stock shot up to over $100/share, and now Kmart purchased Sears for $11 Billion. My question is: Since the real estate (stores) are assets, how come they weren't sold (liquidated) when Kmart filed for bankruptcy, and the proceeds distributed among the common stock holders (owners)?

K-Mart did not own all the stores they were in, many of them were leased. The ones that they closed also hurt the leasing agents but they got away with it.

 I'm ashamed to admit it, but, I purchased Kmart Bethlehem Steel TWA Western Water before they went into bankruptcy. Are these stocks worth anything to anyone? Is there a website that lists the final disposition of stock in cases like this? I also purchased shares in a biometrics company and a hardware store that went bust. I'm beginning to think my investment choice is the kiss of death for companies. Would preferred stock have suffered any better with these companies? E-A

You can do a search lets say on Bethlehem Steel and see they were bought out by another company but for the most part the companies you listed are worthless. I would ask my broker or account to get you a "worthless stock certificate" form and write them off. If you have the original certs you can deposit them to see if any value shows up. Preffered shareholders get paid before the common shareholders, but you have to pay the creditors & bondholders first.

Subject: rainbow media corp

 My father has a stock certificate issued to him dated Feb 12, 1986 for 11,000 shares of Rainbow Media Corp. Is this the same Rainbow that is owned by Cablevision now? I can NOT find a stock ticker symbol for this company anywhere, even on historical charts, other than some tracking shares that Cablevision issued (RMG) in 1999 and then bought back a few years later. I think he said he only paid .17 cents a share for the stock back then so that may be another reason I can't find it listed anywhere? Any help would be appreciated.  jim

Cablevision did buy back the tracking stock I think for $2 - $3 a share. You can contact their investor relations department and they can fill you in. There is also a chance they gave you " X " amount of  CVC shares for each Rainbow Media share. I would just deposit the RMG's shares into a brokerage account and the firms back office will handle all the conversions in about a week. If you do this make a copy of the cert before depositing the original.

If you owned the stock symbol KMRTQ. If you have the stock with the symbol KMRT then you are fine. The previous shareholders who owned K-Mart on the New York Stock Exchange were caught up in the bankruptcy and the stock was delisted to the pink sheets and then dissolved with no value. I'm glad you own the new stock KMRT which trades on the NASDAQ.

K-Mart did not "merge" but actually "bought" out Sears. As of the close of Friday's trading 11/19 the price of K-Mart was $105.

 I bought 1600 shares of K-MART when it was about 11 cents a share. Now, obviously, it's $115 a share. Problem is, after I bought the stock, when they were in bankruptcy, they de-listed it. So I apparently get nothing. While I understand how this works, I wonder if shareholders ever band together and tried to get a pay-out for this. If so, how do I find the other former shareholders?

There is nothing you can do except write the $1600 off on your taxes. I always advise people NOT to invest in companies that file for bankruptcy. There were 2 professor from Yale who went as far as the 1960's to see how the companies fare when they file for bankruptcy and if I remember correctly 95% never trade again or go private and the rest never go back to the glory days but just plod along. The original class action lawsuit was thrown out of court.

The courts protected K-Mart when they filed bankruptcy protection. I hoping with the news of the buyout of Sears there will be enough of an outrage to try to get a civil lawsuit against them. The lawsuit was thrown out of court.

 I saw the question asked by the stockholder who owned K-Mart stock prior to its bankruptcy. I hit on your web site after reading that the stock that was issued after bankruptcy for $15 a share is now trading for over $100 a share, especially after the acquisition with Sears was announced. So I take it that the bottom line is that the stock I paid $10 for prior to the bankruptcy is still worth nothing, even though had I bought that same stock after the bankruptcy, I'd now be sitting pretty. How can our laws justify leaving former shareholders holding an empty bag when the same company re-emerges after bankruptcy and now has this huge capitalization. That's so wrong, and before I go off on this bandwagon, I just wanted to confirm that, yes, I do have it right. Thanks.

K-DOG as i call them really sandbagged the old shareholders and their creditors. For instance if you supplied K-DOG with lets say shirts they were only paying them pennies on the dollar. After the creditors then you have bond holders, prefer shareholder and then the common stockholders. The government protects these crooks but maybe after this latest buyout enough former investors like yourself can get a civil lawsuit going.

I would first open a 401k account with a brokerage account and then notify Wal-Mart to "roll it over" into the new account. If you request Wal-Mart to just send you a check there will be taxes taken out, up to 20% unless you are retiring.

Bethlehem Steel went bankrupt late 2003 and was bought out by Ross's International Steel group. You can have your accountant write it off on your taxes.

 Before I try to take Kmart off on my taxes I have a quick  If memorie serves me right there was something about if kmart shows a profit within two years of common stock being lost Kmart will have to give those profits back to the original stock holders that lost their money? Is this correct or am I getting confused with something else

I'll be honest i have not heard of that one. Consult your broker and someone from the legal department could verify if its true.
